AND PANHANDLE GRAVITY SPORTS, LLC RELEASE, WAIVER OF LIABILITY AND INDEMNITY AGREEMENT**\n\n\n\nThe undersigned desires to engage in mountain biking and use of facilities, property, and trails at the Panhandle Bike Ranch operated by Panhandle Bike Ranch Inc. on property owned by Panhandle Gravity Sports, LLC (the \"Activity\"). \n\n\n\nBY SIGNING THIS AGREEMENT YOU ACKNOWLEDGE THAT YOU ARE AWARE OF THE DANGERS INHERENT IN MOUNTAIN BIKING, THE POSSIBILITY OF SERIOUS PHYSICAL INJURY OR DEATH, OR MENTAL OR EMOTIONAL INJURY, TO YOU, THE POSSIBILITY OF DAMAGE TO YOUR BIKE AND PROPERTY, AND AGREE THAT YOU ASSUME ANY AND ALL RISKS ASSOCIATED WITH THE ACTIVITY.\n\n\n\nIn consideration of being allowed to engage in the Activity, the sufficiency of which consideration is hereby acknowledged, the undersigned, and the undersigned's parent or guardian, if the undersigned is a minor (under age 18) (collectively the \"Releasor\"), hereby knowingly and voluntarily enter into this Agreement, and agree as follows:\n\n\n\n**1. Release:** The Releasor, in consideration of being permitted to participate in the Activity does irrevocably, personally and for his/her heirs, children, parents, assigns, personal representatives, estate and legal representatives, release and waive any and all past, present, or future claims, demands, and causes of action which the undersigned now has or may have in the future against Panhandle Gravity Sports, LLC, Panhandle Bike Ranch Inc., and their respective members, directors, administrators, representatives, officers, agents, employees, volunteers, insurers and assigns, and each of them (hereinafter jointly and severally referred to as \"Released Parties\"), for any and all past, present or future loss of or damage to property, and/or bodily injury, including death, paralysis, or permanent disability, however caused, resulting from, arising out of or in any way connected with Releasor's participation in the Activity, use of the facilities or trails at the Panhandle Bike Ranch, or Released Parties' real or personal property. FOR THE AVOIDANCE OF DOUBT, THIS AGREEMENT SHALL BE BROADLY CONSTRUED AND RELEASE AND WAIVE LIABILITY FOR RELEASED PARTIES INCLUDING FOR INJURIES, DAMAGES, AND CLAIMS ARISING FROM RELEASED PARTIES' OWN NEGLIGENCE, IN WHOLE OR IN PART, TO THE FULLEST EXTENT ALLOWED BY LAW. This release does not apply to claims arising from the willful or intentional misconduct of the Released Parties.\n\nIn addition to the foregoing, and to the extent not released or waived herein, Releasor agrees that the Released Parties' liability for damages for any cause, regardless of the form of any claim or action, shall not exceed the amount of daily use and rental fees paid by Releasor.\n\n\n\n**2. Assumption of Risk:** Releasor acknowledges that the Activity involves known and unanticipated risks that could result in physical or emotional injury, death, paralysis, permanent disability, and property damage. Releasor further states and affirms that he/she is aware of the fact that the aforesaid trail, even under the safest conditions possible, may be hazardous, that he/she assumes the risks of any and all loss or of damage to property and/or bodily injury, including death, however caused, resulting out of or in any way connected with the Activity; that he/she is of legal age and is competent to sign this Agreement; and that he/she has read and understands all of the provisions herein contained. Risks include, but are not limited to, the following: uneven and/or slippery trail and feature conditions, changing weather conditions, varying slopes and terrain, bumps, stumps, trees, roots, forest growth, cliffs, rock and rock drops, loose gravel and dirt, wet surfaces, holes and potholes, downed timber, debris, depressions, other bikes, dirt and wood features and other constructed features, shuttle loading and unloading, padded and non-padded barriers, all-terrain vehicles, motor vehicles, paved surfaces, collisions with vehicles, riders, pedestrians, animals, objects and heavy equipment, and mechanical or other failure of rental or personal equipment. Releasor understands such risks are inherent in participating in the Activity. Releasor agrees that participation in the Activity is purely voluntary and recreational and Releasor elects to participate despite the risks.\n\n\n\n**3. Hold Harmless/Indemnity:** Releasor agrees to defend, indemnify, and hold harmless the Released Parties and each of them from any loss, liability, damage, or cost she/he might incur due to her/his participation in the Activity or use of facilities, property, or trails at the Panhandle Bike Ranch WHETHER CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES OR OTHERWISE. Releasor further covenants not to cause any action at law or in equity to be brought or permit such to be brought in his or her behalf, either directly or indirectly, on account of loss or damage to property and/or bodily injury, including death, against the Released Parties, resulting from, or arising out of, or in any way connected with any claims, demands, and causes of action which now or in the future may be asserted against the Released Parties arising out of or by reason of said Activity described above, or use of the facilities or trails at the Panhandle Bike Ranch, or Released Parties' real or personal property, including any injury, loss, or damage that might occur at any place in connection therewith.\n\n\n\n**4. Medical Release:** Releasor hereby gives permission to Panhandle Gravity Sports, LLC and Panhandle Bike Ranch Inc. to contact emergency services for help or provide Releasor with emergency medical treatment or First Aid, including, but not limited to, emergency transportation, life flight, treatment, hospitalization, injection, anesthesia, and/or surgery. Releasor hereby releases, waives, and forever discharges the Released Parties from any and all claims, liabilities, causes of action, damages, demands, judgments, executions, liens, and costs whatsoever in law or equity, including, without limitation, liability for death or bodily injuries to any person or damage to any property resulting from any (i) claims made against medical providers of emergency services under this authorization or (ii) for obtaining or administering First Aid or emergency medical services pursuant to this authorization and waiver.\n\n\n\n**5. Media Release:** Releasor grants Panhandle Bike Ranch Inc. and Panhandle Gravity Sports, LLC permission to use his/her image, likeness, photograph(s), or video(s) in any and all publications and materials of Panhandle Bike Ranch Inc. and Panhandle Gravity Sports, LLC without payment or further consideration. Such photograph(s) and video(s) shall become the property of Panhandle Bike Ranch Inc. and Panhandle Gravity Sports, LLC. Panhandle Bike Ranch Inc. and Panhandle Gravity Sports, LLC may use, edit, copy, publish, or exhibit any photograph(s) or video(s) for any lawful purpose including advertising, social media, and online publications without prior notice or payment, including royalties, to Releasor.\n\n\n\n**6. Releasor's Representations and Warranties:**\n\na. Releasor agrees that only Releasor shall use the bicycle(s) supplied by Panhandle Bike Ranch Inc. or Panhandle Gravity Sports, LLC, if any, to Releasor. Releasor shall not operate any motorized vehicle, including motorcycle or throttle assist e-bikes during participation in the Activity.\n\nb. RELEASOR WILL WEAR A HELMET AT ALL TIMES WHILE ON THE TRAILS AND DURING PARTICIPATION IN THE ACTIVITY.\n\nc. Releasor agrees Panhandle Bike Ranch Inc. has made a helmet available to Releasor in addition to other safety apparel and equipment (i.e., chest protectors, knee pads, elbow pads, etc.). In addition to the mandatory helmet, Releasor will wear all appropriate safety apparel and equipment that Releasor deems reasonable and necessary based on the risk assumed by Releasor. Releasor acknowledges all helmets, safety apparel, and equipment is provided in its AS IS condition; the Released Parties provide NO WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, AND DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Provided further, Releasor agrees that he/she is competent to perform a safety check of his/her helmet, safety apparel, and equipment prior to use, and if Releasor finds the equipment unsuitable, will notify Panhandle Bike Ranch Inc. immediately and before (continued) use.\n\nd. Releasor agrees that Releasor is competent to engage in the Activity sufficient to negotiate any trail and will operate his/her bicycle within the limits of his/her own ability, maintain reasonable control of speed on trails at all times while bicycling, heed all posted warnings and safety requirements, bicycle only on designated bicycling areas, and refrain from acting in a manner that may cause or contribute to the injury of anyone or property. Releasor further acknowledges Panhandle Bike Ranch Inc. has posted trail boards at prominent locations displaying the network of trails.\n\ne. Releasor agrees that if he/she finds the Activity or conditions unsafe, Releasor will notify Panhandle Bike Ranch Inc. of the condition and will immediately discontinue participation in the Activity.\n\nf. Releasor agrees that the Activity will further be conducted in compliance with all applicable laws and regulations. Releasor further agrees to follow the instructions of the Panhandle Bike Ranch staff, obey all signs, markings and warnings posted at the Panhandle Bike Ranch, comply with Panhandle Bike Ranch policies, and act in a safe manner.\n\ng. Releasor agrees that riders under the age of 16 years shall be accompanied by an adult rider (18 years or older). Riders under the age of 16 years found riding without an adult present will forfeit the ride pass without a refund.\n\n\n\n**7. Choice of Law, Venue and Attorneys' Fees:** This Agreement is governed by the laws of the State of Idaho. The exclusive venue for any suit arising out of or related to this Agreement, or participation in the Activity, whether arising in contract, tort or otherwise, shall be in the state or federal courts located in Bonner County, Idaho. Releasor irrevocably consents to the jurisdiction of the courts located within Bonner County, Idaho. If for any reason Panhandle Gravity Sports, LLC, Panhandle Bike Ranch Inc., or any of the Released Parties is required to engage an attorney to enforce this Agreement, Releasor shall reimburse the applicable entity for all costs and attorneys' fees incurred in enforcing this Agreement.\n\n\n\n**8. Severability:** Releasor agrees that if any provisions of this Agreement are found to be unenforceable by a court of competent jurisdiction, that provision shall be subject to reformation to remove the objection, and if reformation is not available, the provision shall be severed, and the remaining provisions shall remain in full force and effect.\n\n\n\n**9. Entire Agreement:** This Agreement and documents expressly incorporated herein set forth the entire agreement and understanding of the parties hereto and no verbal agreement or correspondence prior to the date of execution of this Agreement shall be held to vary the provisions herein. The provisions limiting Released Parties' liability will survive the expiration or termination of this Agreement.\n\n\n\nRELEASOR HAS HAD SUFFICIENT TIME TO READ THIS ENTIRE DOCUMENT AND UNDERSTANDS THAT RELEASOR IS FREE TO HAVE IT REVIEWED BY LEGAL COUNSEL PRIOR TO SIGNING. RELEASOR UNDERSTANDS THAT THE ACTIVITY WOULD NOT BE MADE AVAILABLE TO RELEASOR ABSENT EXECUTION OF THIS AGREEMENT.
